Board Mandate Definition: A board mandate outlines the authority, duties, and responsibilities assigned to a board member or committee. Nominations are reviewed by the Governance & Nomination Committee.

- No conflict of interest; compliance with independence standards.
- Commitment to attend at least 80% of board meetings annually.
- Meet regulatory and legal qualifications (varies by jurisdiction).
- Support diversity and inclusion values of the organization.
π Sample Mandate Scope
Board members are expected to provide strategic oversight, risk management guidance, and ensure fiduciary responsibilities. Nominations for specialized mandates (Audit, Remuneration, ESG) require additional expertise certifications.
Nomination period: Open quarterly β Q2 deadline: May 31, 2025. Late submissions may be considered for the next cycle.
Submission review: The Nomination Committee will evaluate all submissions within 15 business days.
